Terms and Conditions

Confidentiality: All and information shared to us by our clients is considered confidential and it will be be protected, including any non-disclosure agreements (NDAs).

Intellectual Property: The ownership of any created work, including software, code, documentation, or other deliverables is considered the property of you “The client” unless otherwise specified.

Scope of Work: The tasks and projects we will perform for you, including any changes or additions.

Payment Terms: All agreed upon payment terms verbal or written including payment schedules and any applicable fees, shall be paid in US Dollars.

Dispute Resolution:Any disputes that arise as a result of work being performed for “The Client” will be handled through mediation, arbitration, or litigation.

Termination: iScripta shall continue to perform work outlined in a contractual agreement until all work is done.
If for a specified reason or unforeseen circumstances “The Client” wishes to terminate the contract, iScripta requires a 1 week notice to be given by “The Client” to us in writing. If a one week notice is not given by “The Client” to iSCripta to terminate a contract, an agreed upon fee should be paid to iScripta.
If for a specified reason or unforeseen circumstances iScripta wishes to terminate a contractual agreement, iScripta shall provide a 2 week notice to “The Client” at which time iScripta is free from any obligations to the client.

Warranty and Liability: All work performed is guaranteed according to provisions provided by iScripta in either verbal or written format to “The Client”.

Data Security: “The Client’s” data especially in sensitive contexts is protected at all times during work performed on site or off site.

Acceptance Tests: All hardware and software delivered would be tested as specified in the contractual agreement verbal or written and would be accepted by the client, ensuring that iScripta has met the agreed-upon standards.

Governing Law: Any contract and/or disputes legalities are governed under the law by the state of North Carolina.

Additional Considerations:

Customer Assistance: iScripta will provide agreed upon technical support services either onsite or by remote connection of the net. Usually our response time after first call will be next day. We can be reach via email, text messaging or mobile call.

Non-Solicitation: iScripta will not contact “The Client’s” staff and try to offer them employment.

Force Majeure: In situations where our staff can’t show up to perform the work, iScripta will provide adequate notice to “The Client” in the event of weather delays or any other unforeseen circumstances.

Independent Contractor vs. Employee: iScripta is minority owned small technology service and is considered an entity who sometimes will be contracting with the client and working onsite at the your location (The Client). While an iScripta employee is not an employee of the client, when at the Client’s site, will abide by your company policy, procedures and work ethics as if we were one of your employees.

Subcontracting: iScripta may sometimes bring on subcontractors and provide our clients tech support or IT services that are agreed upon in the contractual agreements between iScripta and the client. The subcontractor is considered as someone who is getting work done for “The Client” through iScripta under contractual agreements between iScripta and the subcontractor.

Amendment and Modification: The terms and conditions stated here maybe changed from time to time so please do check this page every once in a while for updates.
